(De Beer accountants &amp;<br \/>taks advisors) which concludes the Agreement and uses these general terms and conditions.<br \/>All agreements are established with the Contractor and are exclusively fulfilled<br \/>by the Contractor, to the exclusion of Sections 7:404 and 7:407 (2) of the Dutch Civil<br \/>Code. This also applies if it is the Principal\u2019s explicit or implicit intention that the Work<br \/>is to be performed by a specific individual or specific individuals.<br \/><strong>3<\/strong> Work: all work for which the Contractor has received instructions or which the Contractor<br \/>performs on another account. The above applies in the broadest sense of the<br \/>word and in any event comprises the work as specified in the confirmation of the instructions.<br \/><strong>4<\/strong> Documents: all goods, including documents or data media, which the Principal has<br \/>made available to the Contractor, as well as all goods, including documents or data<br \/>media, which have been produced by the Contractor in the scope of fulfilling the instructions.<br \/><strong>5<\/strong> Agreement: every agreement between the Principal and the Contractor to perform<br \/>Work by the Contractor for the Principal in conformance with the stipulations specified<br \/>in the confirmation of the instructions.<br \/><strong>B Applicability<\/strong><br \/><strong>1<\/strong> These general terms and conditions apply to: all offers, quotations, instructions, legalrelationships<br \/>and agreements, under whatever name, in which the Contractor undertakes\/<br \/>will undertake to perform Work for the Principal, as well as to all Work resulting<br \/>from the same for the Contractor.<br \/><strong>2<\/strong> Departures from and additions to these general terms and conditions are only valid if<br \/>these have been agreed upon explicitly and in writing, for example in a (written)<br \/>agreement or confirmation of the instructions.<br \/><strong>3<\/strong> In the event that these general terms and conditions and the confirmation of the instructions<br \/>contain conflicting conditions, the conditions included in the confirmation of<br \/>the instructions will apply.<br \/><strong>4<\/strong> The Contractor explicitly rejects any applicability of the Principal\u2019s general terms and<br \/>conditions.<br \/><strong>5<\/strong> The underlying Instructions\/Agreement together with these general terms and conditions<br \/>represent the full agreements between the Principal and the Contractor regarding<br \/>the Work for which the Agreement is concluded. It replaces all prior agreements made<br \/>between the parties or proposals made in this respect.<br \/><strong>C Commencement and duration of the agreement<\/strong><br \/><strong>1<\/strong> Each Agreement is only established and commences at the time the confirmation of the<br \/>instructions signed by the Principal has been returned to and signed by the Contractor.<br \/>The confirmation is based on the information which the Principal supplied to the Contractor<br \/>at the time of the confirmation. The confirmation is deemed to correctlyand fully<br \/>represent the Agreement.<br \/><strong>2<\/strong> The parties are free to prove the establishment of the Agreement by other means.<br \/><strong>3<\/strong> Each Agreement is entered into for an indefinite period of time, unless the nature, contents<br \/>or purpose of the instructions given show that the Agreement was entered into<br \/>for a fixed period of time.<br \/><strong>4<\/strong> Each Agreement is deemed to be tacitly renewed if the Contractor performs work for<br \/>the Principal, also in case the confirmation has not been signed and returned by the<br \/>Principal.<br \/><strong>D Information of the Principal<\/strong><br \/><strong>1<\/strong> The Principal is required to make all information and Documents which the Contractor<br \/>believes are necessary to correctly fulfil the Agreement available to the Contractor in<br \/>time, in the requested form and in the desired manner.<br \/><strong>2<\/strong> The Contractor is entitled to suspend the fulfilment of the Agreement until the Principal<br \/>has complied with the obligation mentioned in the previous paragraph.<br \/><strong>3<\/strong> The Principal is required to notify the Contractor at once regarding facts and circum<br \/>stances which may be relevant in connection with the fulfilment of the Agreement.<br \/><strong>4<\/strong> The Principal guarantees that the information and documents which are made available<br \/>to the Contractor by or on behalf of the Principal are correct, complete and reliable,<br \/>even if the information and documents originate from third parties.<br \/><strong>5<\/strong> The extra costs resulting from delays in the fulfilment of the Agreement and the extra<br \/>fee resulting from any failure to make the desired information available or to do so in<br \/>time or properly will be borne by the Principal.<br \/><strong>6<\/strong> If and to the extent that the Principal so requests, the documents made available will be<br \/>returned to the Principal, subject to the stipulations under O.<br \/><strong>E Fulfilment of the Agreement<\/strong><br \/><strong>1<\/strong> The Contractor determines the manner in which and by what person(s) the Agreement<br \/>will be fulfilled. If possible, the Contractor will take any directions from the Principal<br \/>regarding the fulfilment of the Agreement into account, provided these instructions are<br \/>sound and are given in a timely fashion.<br \/><strong>2<\/strong> The Contractor will perform the Work to the best of his ability and in a manner to be<br \/>expected of a careful professional. However, the Contractor cannot guarantee that any<br \/>envisaged result will be realised.<br \/><strong>3<\/strong> The Contractor is entitled to have a person or third party to be designated by the Contractor<br \/>perform specific Work without notification to and explicit consent from the Principal<br \/>if the Contractor believes that this is advisable.<br \/><strong>4<\/strong> The Contractor will fulfil the Agreement in accordance with the rules of conduct and the<br \/>professional rules that apply to him, which are part of the Agreement, and in accordance<br \/>with the statutory requirements. Upon request, a copy of the rules of conduct and the<br \/>professional rules applying to the Contractor will be sent to the Principal. The Principal<br \/>will respect the Contractor\u2019s obligations and the obligations for parties working at or for<br \/>he Contractor, respectively, that arise from these rules of conduct and professional rules<br \/>and from the law.<br \/><strong>5<\/strong> In the event that Work is performed for the profession or business of the Principal during<br \/>the duration of the Agreement which is not covered by the Work to which the<br \/>Agreement relates, this Work will be deemed to have been performed based on separate<br \/>Agreements.<br \/><strong>6<\/strong> Any terms specified in the Agreement for performing the Work will be approximate<br \/>terms rather than deadlines. Thus, in the event that such a term is exceeded this does<br \/>not constitute a culpable failure on the part of the Contractor; consequently this is not<br \/>a ground for dissolving the Agreement. Terms set for completing the Work can only be<br \/>considered as deadlines if the Principal and the Contractor have explicitly agreed on this<br \/>in so many words or if this results from the nature of the work.<br \/><strong>7<\/strong> Unless stipulated otherwise in writing, the fulfilment of the Agreement is not specifically<br \/>aimed at detecting fraud. In the event that the work results in indications of fraud, the<br \/>Contractor will report this to the Principal. In so doing, the Contractor is required to ob<br \/>serve applicable statutory and other rules as well as the regulations and guidelines issued<br \/>by the various professional organisations.<br \/><strong>F Confidentiality and exclusivity<\/strong><br \/><strong>1<\/strong> The Contractor is required to maintain confidentiality with respect to third parties who<br \/>are not involved in the fulfilment of the Agreement. This confidentiality involves all confidential<br \/>information which the Principal made available to the Contractor and the results<br \/>obtained by processing this information. This confidentiality does not apply to the<br \/>extent that statutory or professional rules, including but not limited to the notification<br \/>duty resulting from the Dutch Act on Measures to Prevent Money Laundering and the<br \/>Financing of Terrorism and other national or international rules with a similar purpose,<br \/>impose a duty of disclosure on the Contractor, or in as far as the Principal has released<br \/>the Contractor from the confidentiality obligation. This stipulation does not prevent<br \/>confidential consultations between colleagues within the Contractor\u2019s organisation to<br \/>the extent that the Contractor deems this necessary for careful fulfilment of the<br \/>Agreement or the due observance of statutory or professional rules.<br \/><strong>2<\/strong> The Contractor is entitled to use the figures obtained after processing for statistical or<br \/>comparative purposes, provided these figures cannot be traced back to individual Principals.<br \/><strong>3<\/strong> The Contractor is not entitled to use the information which the Principal makes available<br \/>to the Contractor for any purpose other than the purpose for which the information was<br \/>obtained, except as stipulated in paragraph 2, and in case the Contractor acts on its own<br \/>behalf, on behalf of an employee or a director of the Contractor in disciplinary, civil,<br \/>administrative or criminal proceedings in which these documents may be relevant. In<br \/>the event that the Contractor or an employee or a director of the Contractor is accused<br \/>of guilt or complicity in an offence or felony or a violation of professional rules, the Contractor<br \/>is entitled to disclose documents obtained from the Principal to the Judge, Tax<br \/>Authority or any disciplinary entity in case disclosure is necessary for the defence to be<br \/>conducted by the Contractor.<br \/><strong>4<\/strong> Except with the Contractor\u2019s explicit prior written consent, the Principal is not permitted<br \/>to disclose the contents of recommendations, opinions or other (written) statements<br \/>from the Contractor or to make these contents available to third parties in any other<br \/>way, except to the extent that this results directly from the Agreement, is done to obtain<br \/>an expert opinion regarding the Contractor\u2019s Work in question, the Principal is under a<br \/>statutory or professional duty of disclosure, or the Principal acts on his own behalf in<br \/>disciplinary, civil, administrative or criminal proceedings. Sustainable and committed<br \/>partners or if the Principal acts on its own behalf in disciplinary, civil, administrative or<br \/>criminal proceedings.<br \/><strong>5<\/strong> The Principal is required to enable the Contractor to comply with any relevant (inter)<br \/>national laws and regulations on independence. To this end, the Principal is required to<br \/>promptly, correctly and fully inform the Contractor of (any changes in) (eventual) controlling<br \/>relationships, legal structure, financial interests, participations and other forms<br \/>of cooperation entered into by its enterprise, organisation or group of which the Principal<br \/>is a part, all this in the broadest sense of the word.<br \/><strong>G Intellectual property<\/strong><br \/><strong>1<\/strong> The Contractor reserves all rights regarding products of the mind which he uses or used<br \/>in the scope of the fulfilment of the Agreement with the Principal, to the extent that<br \/>legal rights to those products may exist or are established.<br \/><strong>2<\/strong> The Principal is explicitly prohibited from providing those products, including but not<br \/>limited to computer programs, system designs, work methods, advice, (model) contracts<br \/>and other products of the mind, all this in the broadest sense of the word &#8211;<br \/>whether or not by using third parties- to third parties, or to reproduce, publish or exploit<br \/>those products.<br \/><strong>3<\/strong> The Principal is not permitted to provide (resources of) those products to third parties<br \/>other than for the purpose of obtaining an expert opinion regarding the Contractor\u2019s<br \/>Work. In that case, the Principal will impose his obligations under this article upon the<br \/>third parties he calls in.<br \/><strong>H Force majeure<\/strong><br \/><strong>1<\/strong> In the event that the Contractor is unable to fulfil his obligations under the Agreementor<br \/>is unable to fulfil these obligations in time or properly as a result of a cause that cannot<br \/>be attributed to him, including but not limited to employee sickness, breakdowns in the<br \/>computer network and other interruptions of the normal conduct of business within his<br \/>enterprise, these obligations will be suspended until the time the Contractor can still<br \/>fulfil these obligations in the manner agreed upon.<br \/><strong>2<\/strong> In the event that the situation referred to in the first paragraph occurs, the Principal is<br \/>entitled to cancel all or part of the Agreement in writing, without this giving rise to any<br \/>right to damages.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t<div class=\"elementor-element elementor-element-a86e31b e-con-full e-flex e-con e-child\" data-id=\"a86e31b\" data-element_type=\"container\" data-e-type=\"container\">\n\t\t\t\t<div class=\"elementor-element elementor-element-893e935 elementor-widget elementor-widget-text-editor\" data-id=\"893e935\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t<div class=\"elementor-widget-container\">\n\t\t\t\t\t\t\t\t\t<p><strong>I Fee<\/strong><br \/><strong>1<\/strong> The Contractor is entitled to suspend the performance of his Work before the start ofthe<br \/>Work and in the interim until the Principal pays an advance for the work to be performed,<br \/>to be reasonably fixed by the Contractor, or has furnished security for this. Initially,<br \/>an advance paid by the Principal will be set off by an invoice.<br \/><strong>2<\/strong> The Contractor\u2019s fee does not depend on the outcome of the Work performed.<br \/><strong>3<\/strong> The Contractor\u2019s fee may comprise a predetermined amount per Agreement and\/or<br \/>may be calculated based on rates per time unit worked by the Contractor and is payable<br \/>as and when the Contractor has performed Work for the Principal.<br \/><strong>4<\/strong> In the event that an amount fixed per Agreement is agreed upon, the Contractor is entitled<br \/>to charge a rate per time unit worked on top of this, if and to the extent that the<br \/>scope of the Work exceeds the scope of the Work provided for in the Agreement, in<br \/>which case the Principal must also pay this additional amount.<br \/><strong>5<\/strong> In the event that wages and\/or prices change after the establishment of the Agreement<br \/>but before the instructions have been fully carried out, the Contractor is entitled to adjust<br \/>the rate agreed on accordingly, unless the Principal and the Contractor have made<br \/>other agreements in this regard.<br \/><strong>6<\/strong> The Contractor\u2019s fee, if necessary plus disbursements and invoices from third parties<br \/>called in, including the value added tax due, if any, will be charged to the Principal on a<br \/>monthly, quarterly or annual basis or after completion of the Work.<br \/><strong>J Payment<\/strong><br \/><strong>1<\/strong> The Principal must pay the invoice amount within the terms agreed upon, but in no<br \/>event later than 14 days after the invoice date, in Euros, at the office of the Contractor<br \/>or by means of payments into a bank account to be designated by the Contractor and in<br \/>as far as the payment regards work, the Principal has no right to a discount or setoff.<br \/><strong>2<\/strong> In the event that the Principal fails to pay within the term mentioned in paragraph 1 or<br \/>within the term further agreed upon, the Principal will be legally in default and the Contractor<br \/>is entitled to charge the statutory (commercial) interest in accordance with art.<br \/>6:119a BW from the due date until the day of payment in full, without any further summons<br \/>or notice of default being required, all this without prejudice to the Contractor\u2019s<br \/>further rights.<br \/><strong>3<\/strong> All costs arising as a result of collection of the claim in or out of court will be borne by<br \/>the Principal, including to the extent that these costs exceed the court order to pay the<br \/>costs of the proceedings. The extra judicial costs are fixed at a minimum of 15% of the<br \/>amount to be claimed, with a minimum of EUR 250.00.<br \/><strong>4<\/strong> In the event that the Contractor is of the opinion that the Principal\u2019s financial position<br \/>or payment record gives rise to this, the Contractor is entitled to demand that the Principal<br \/>furnish (additional) security in a form to be specified by the Contractor. In the event<br \/>that the Principal fails to furnish the requested security, the Contractor is entitled -without<br \/>prejudice to any other rights he may have- to immediately suspend the further<br \/>fulfilment of the Agreement and everything that the Principal owes the Contractor on<br \/>any account what so ever will be due and payable at once.<br \/><strong>5<\/strong> In the event of instructions issued jointly, the Principals are jointly and severally liable<br \/>for the payment of the invoice amount to the extent that the Work has been performed<br \/>for the collective Principals.<br \/><strong>K Complaints<\/strong><br \/><strong>1<\/strong> Complaints regarding the work performed and\/or the invoice amount must be notified<br \/>to the Contractor in writing within 30 days after the documents or information about<br \/>which the Principal complains have been sent or within 30 days after the defect is discovered,<br \/>in the event that the Principal demonstrates that he reasonably was unable to<br \/>discover the defect earlier.<br \/><strong>2<\/strong> Complaints as referred to in the first paragraph do not suspend the Principal\u2019s payment<br \/>obligation, except to the extent that the Contractor indicates that he believes the complaint<br \/>is valid.<br \/><strong>3<\/strong> In the event of a valid complaint, the Contractor can either adjust the fee charged, rectify<br \/>or redo the rejected Work at no cost or not (or no longer) perform all or part of the<br \/>instructions in exchange for restitution in proportion to the fee which the Principal already<br \/>paid.<br \/><strong>4<\/strong> In the event that the complaint is filed too late, all rights of the Principal in connection<br \/>with the complaint become null and void.<br \/><strong>L Liability and indemnification<\/strong><br \/><strong>1<\/strong> The Contractor is only liable to the Principal for damage, which directly results from a<br \/>(related series of) culpable failure(s) in fulfilling the Agreement. This liability is limited<br \/>to the amount paid for the event in question according to the Contractor\u2019s liability insurer,<br \/>plus the excess to be paid by the Contractor under the insurance policy, if any. If the<br \/>liability insurer does not pay for any reason whatsoever, the Contractor\u2019s liability is limited<br \/>to the amount of the fee charged for fulfilling the Agreement. In the event that the<br \/>Agreement is a continuing performance contract with a term of more than one year, the<br \/>amount mentioned above will be set at three times the amount of the fee charged to<br \/>the Principal in the twelve months preceding the occurrence of the damage. In no event<br \/>will the total compensation of the damage by virtue of this article amount to more than<br \/>EUR 300,000 per event, in which a series of related events is deemed to be a single<br \/>event, unless -in view of the scope of the instructions or the risks related to the instructions-<br \/>the parties at the time the Agreement is entered into feel that there is reason to<br \/>deviate from this maximum.<br \/><strong>2<\/strong> The Contractor is not liable for:<br \/>&#8211; damage occurring at the Principal or third parties which is the result of the provision<br \/>of incorrect or incomplete information, or information not provided within the time<br \/>limit set by the Principal to the Contractor or which is the result of some other act or<br \/>omission on the part of the Principal;<br \/>&#8211; damage occurring at the Principal or third parties which is the result of acts or omissions<br \/>on the part of agents called in by the Contractor (not including employees of the<br \/>Contractor), also if these work for an organisation which is affiliated with the Contractor;<br \/>&#8211; consequential damage or loss of profits occurring at the Principal, including but not<br \/>limited to interruptions in the orderly conduct of events in the Principal\u2019s business.<br \/><strong>3<\/strong> The Contractor will at all times be entitled to remedy or limit the Principal\u2019s damage by<br \/>rectifying or correcting the defective product if and to the extent possible.<br \/><strong>4<\/strong> The Contractor is not liable for any damage caused to the Principal due to the use of<br \/>electronic means of communication, including but not limited to damage caused by failures<br \/>or delays in the delivery of electronic communication, interception or manipulation<br \/>of electronic communication by third parties or caused by software or equipment<br \/>used for the transmission, receipt or processing of electronic communication, the transmission<br \/>of viruses and the failure in the (proper) performance of the telecommunication<br \/>network or other means necessary for electronic communication, except to the extent<br \/>that the damage is the result of wilful misconduct or gross negligence on the part of the<br \/>Contractor. The data extracts from the computer systems of the Contractor shall be conclusive<br \/>proof of (the contents of) the electronic communication sent by the Contractor<br \/>until the Principal has furnished proof to the contrary.<br \/><strong>5<\/strong> The Principal indemnifies the Contractor against all claims from third parties, including<br \/>shareholders, directors, supervisory directors and employees of the Principal, as well as<br \/>affiliated legal entities and enterprises and others involved in the Principal\u2019s organisation<br \/>and directly or indirectly related to the fulfilment of the Agreement. The Principal<br \/>specifically indemnifies the Contractor against claims from third parties on account of<br \/>damaged caused because the Principal provided incorrect or incomplete information to<br \/>the Contractor, unless the Principal demonstrates that the damage is not related to any<br \/>culpable act or omission on his part, or has been caused by wilful misconduct or gross<br \/>negligence on the part of the Contractor. The above stipulations do not apply to instructions<br \/>to audit the financial statements as referred to in Section 393 of Book 2 of the<br \/>Dutch Civil Code.<br \/><strong>6<\/strong> The Principal indemnifies the Contractor against all possible claims from third parties in<br \/>the event that the Contractor is forced by law and\/or his professional rules to return the<br \/>instructions and\/or is forced to render his assistance to government agencies which are<br \/>entitled to receive information -both when asked and at their own initiative- which the<br \/>Contractor received from the Principal or third parties in the course of fulfilling the instructions.<br \/><strong>M Expiry period<\/strong><br \/>Unless otherwise stipulated in these general terms and conditions, rights of action and<br \/>other powers of the Principal on any account whatsoever towards the Contractor in<br \/>connection with the performance of Work by the Contractor will in any case become null<br \/>and void one year after the time at which the Principal learned or reasonably could have<br \/>learned of the existence of these rights and powers. This term does not regard the<br \/>possibility to file a complaint with the appropriate body (bodies) for complaint handling<br \/>and\/or the Raad voor Geschillen (Dispute Review Board).<br \/><strong>N Cancellation<\/strong><br \/><strong>1<\/strong> The Principal and the Contractor can terminate the Agreement at any time with immediate<br \/>effect by giving notice. In the event that the Agreement ends before the instructions<br \/>are completed, the stipulations of L.2 apply.<br \/><strong>2<\/strong> The other party must be informed of the cancellation in writing.<br \/><strong>3<\/strong> If and to the extent that the Contractor terminates the Agreement by giving notice, he<br \/>must inform the Principal of his reasons for the cancellation and do everything the circumstances<br \/>demand in the interest of the Principal.<br \/><strong>O Right of suspension \/ Right of retention<\/strong><br \/>The Contractor is entitled to suspend fulfilment of all his obligations, including the surrender<br \/>of documents or other matters to the Principal or third parties, until all payable claims<br \/>against the Principal are paid in full. The Contractor may only refuse to surrender Documents<br \/>after making a careful consideration of interests.<br \/><strong>P Additional terms<\/strong><br \/>During the performance of the services and within one year after the termination of<br \/>services neither party is allowed to directly or indirectly engage personnel of the other<br \/>party, to negotiate with these personnel about employment, or to induce personnel to<br \/>terminate their employment.<br \/><strong>Q Applicable law and jurisdiction clause<\/strong><br \/><strong>1<\/strong> All Agreements between the Principal and the Contractor to which these general terms<br \/>and conditions apply are governed by Dutch law.<br \/><strong>2<\/strong> All disputes in connection with Agreements between the Principal and the Contractor<br \/>to which these general terms and conditions apply will be settled by the competent<br \/>court in the district where the Contractor is domiciled.<br \/><strong>3<\/strong> Contrary to the stipulation in paragraph 2, the Principal and the Contractor may opt for<br \/>another dispute resolution manner.<br \/><strong>4<\/strong> The Contractor has a complaints procedure in place. In addition to that it is possible to<br \/>anonymously report any complaints by using the whistleblowing procedure. General<\/strong><br \/>In this processor agreement, the following terms are defined as follows:<br \/><strong>1.1<\/strong> General Terms and Conditions: the Processor&#8217;s General Terms and Conditions as they<br \/>apply in full to every ar-rangement between the Processor and the Controller and of<br \/>which this processor agreement forms an integral part.<br \/><strong>1.2<\/strong> Processor: De Beer Accountants &amp; Belastingadviseurs B.V., having its registered office<br \/>in Tilburg and principal place of business at Ringbaan West 275 in 5037 PD Tilburg.<br \/><strong>1.3<\/strong> Data: the personal data as described in Annex 1.<br \/><strong>1.4<\/strong> Client: the natural person who or legal entity that has instructed the Processor to perform<br \/>Work, also referred to as Controller.<br \/><strong>1.5<\/strong> Agreement: any arrangement between the Client and the Processor to perform Work<br \/>by the Processor for the Client, in accordance with the stipulations of the confirmation<br \/>of the instruction.<br \/><strong>1.6<\/strong> Controller: the Client that, as natural person or legal entity, has instructed the Processor<br \/>to perform Work.<br \/><strong>1.7<\/strong> Work: all work performed on instruction or performed by the Processor for another<br \/>reason. The above applies in the broadest sense of the word and at least includes the<br \/>work stated in the confirmation of the instruction.<br \/><strong>2. Applicability of processor agreement<\/strong><br \/><strong>2.1<\/strong> This processor agreement applies to all data collected by the Processor for the Client<br \/>within the framework of performance of the Agreement with the Client, as well as to<br \/>all Work that ensues from the Agreement and must be performed by the Processor<br \/>and the data to be collected in that context.<br \/><strong>2.2<\/strong> The Controller is responsible for processing the Data in respect of certain categories<br \/>of data subjects, as descri-bed in Annex 1.<br \/><strong>2.3<\/strong> In performance of the Agreement, the Processor processes certain personal data for<br \/>the Controller.<br \/><strong>2.4<\/strong> This is a processor agreement within the meaning of Article 28, paragraph 3 of the<br \/>General Data Protection Regulations (GDPR), setting out in writing the rights and obligations<br \/>in relation to processing of the personal da-ta, including those in relation to<br \/>security. This processor agreement is binding for the Processor towards the Con-troller.<br \/><strong>2.5<\/strong> Like the General Terms and Conditions, this processor agreement is part of the<br \/>Agreement and all future agree-ments between parties.<br \/><strong>3. Scope of the processor agreement<\/strong><br \/><strong>3.1<\/strong> By giving instructions to perform Work, the Controller has granted the Processor the<br \/>assignment to process the Data on behalf of the Controller in the manner described in<br \/>Annex 1 and in accordance with the stipulations of this processor agreement.<br \/><strong>3.2<\/strong> The Processor will only process the Data in accordance with this processor agreement,<br \/>particularly the provisions of Annex 1. The Processor confirms that they will not use<br \/>the Data for any other purposes.<br \/><strong>3.3<\/strong> The Processor will never have any control over the Data.<br \/><strong>3.4<\/strong> The Controller may give the Processor additional written instructions based on<br \/>amendments or changes to appli-cable legislation relating to personal data privacy.<br \/><strong>3.5<\/strong> The Processor will only process the Data within the European Economic Area.<br \/><strong>4. Confidentiality<\/strong><br \/><strong>4.1<\/strong> The Processor and persons who are employed by the Processor or perform work for<br \/>the Processor, in so far as these persons have access to the personal data, will process<br \/>the Data only on the instructions of the Controller, unless otherwise provided by law.<br \/><strong>4.2<\/strong> The Processor and persons who are employed by the Processor or perform work for<br \/>the Processor, in so far as these persons have access to personal data, have a duty of<br \/>confidentiality in respect of the personal data that come to their information, except<br \/>if any statutory provision obliges them to disclose the information or the ne-cessity to<br \/>disclose is apparent from a task.<br \/><strong>5. No transfer of personal data<\/strong><br \/><strong>5.1<\/strong> The Processor will not share the Data with third parties or disclose Data to them unless<br \/>the Processor has been given the prior written consent or instruction from the Controller<br \/>or is obliged to do so under mandatory regulati-ons. If the Processor is obliged<br \/>to share Data with or disclose Data to third parties under mandatory regulations, the<br \/>Processor will inform the Controller in writing, unless this is not permitted.<br \/><strong>6. Security measures<\/strong><br \/><strong>6.1<\/strong> With due regard for the state of the art, the implementation costs, as well as the nature,<br \/>scope, context and processing purposes and the risks for the rights and liberties<br \/>of persons, which differ in terms of likelihood and seriousness, the Processor will take<br \/>appropriate technical and organisational measures to safeguard a security le-vel matching<br \/>the risk. The security measures currently in place are listed in Annex 2.<br \/><strong>6.2<\/strong> The Processor will take measures that are also aimed at preventing unnecessary collection<br \/>and further proces-sing.<br \/><strong>6.3<\/strong> The Data will only be stored and processed within the European Economic Area.<br \/><strong>7. Monitoring compliance<\/strong><br \/><strong>7.1<\/strong> At the Controller&#8217;s request and expense, the Processor will give the Controller information<br \/>on the Processing of Data by the Processor or sub-processors. The Processor<br \/>will provide the requested information as soon as possi-ble, but no later than within<br \/>five working days.<br \/><strong>7.2<\/strong> Once a year and at its own expense, the Controller is entitled to have an independent<br \/>third party to be appointed by the Controller and the Processor together to perform<br \/>an inspection to verify whether the Processor meets the obligations under the GDPR<br \/>and this processor agreement. The Processor will lend all reasonably necessary assistance<br \/>for such an inspection. The Processor has the right to charge the costs related<br \/>to the inspection to the Con-troller.<br \/><strong>7.3<\/strong> As part of its obligation under paragraph 1 of this article, the Processor will at least<br \/>provide the Controller or a third party engaged by the Controller with:<br \/>7.3.1 all relevant information and documents;<br \/>7.3.2 access to all relevant buildings, information systems and Data.<br \/><strong>7.4<\/strong> As soon as possible after completion of the report, the Controller and the Processor<br \/>will enter into consultations to address any risks and shortcomings. The Processor will<br \/>take measures, at the Controller&#8217;s expense, to bring the risks and shortcomings identified<br \/>to a level acceptable by the Controller or eliminate them, unless parties have<br \/>agreed otherwise in writing.<br \/><strong>8. Data breach<\/strong><br \/><strong>8.1<\/strong> As soon as possible after the Processor takes cognisance of an incident or data breach<br \/>that (also) relates to or could relate to the Data, the Processor will inform the Controller<br \/>by means of the Controller&#8217;s contact details known to the Processor and the Processor<br \/>will provide information on: the nature of the incident or data breach, the Data<br \/>affected, the identified or expected consequences of the incident or data breach for<br \/>the Data and the measures the Processor has taken and will take.<br \/><strong>8.2<\/strong> The Processor will assist the Controller in any notifications to data subjects and\/or<br \/>authorities.<br \/><strong>9. Sub-processors<\/strong><br \/><strong>9.1<\/strong> If the Processor has prior (general) consent to outsource its obligations to third parties,<br \/>the Processor will inform the Controller about the intention to engage the subprocessor.<br \/>The Processor will give the Controller a term of 7 working days to object to<br \/>engaging a sub-processor. The Processor will not engage the sub-processor until the<br \/>term of 7 days has expired without the Controller having objected, or when the Controller<br \/>has indicated not to ob-ject to engaging the third party.<br \/><strong>9.2<\/strong> If the Processor does not have prior consent to outsource its obligations to third parties,<br \/>the Processor will re-quest prior consent for engaging the sub-processor.<br \/><strong>9.3<\/strong> The Processor ensures that the sub-processor is subject to this Processor Agreement<br \/>or a sub-processor agree-ment that contains the same obligations as this processor<br \/>agreement.<br \/><strong>10. Cooperation rights and obligations of data subjects<\/strong><br \/><strong>10.1<\/strong> Upon request, the Processor will cooperate with the Controller in the event of a complaint,<br \/>question or request from a data subject, or investigations or inspections by the<br \/>Dutch Data Protection Authority.<br \/><strong>10.2<\/strong> At the Controller&#8217;s request and expense, the Processor will assist the Controller with<br \/>the performance of a data protection effect assessment.<br \/><strong>10.3<\/strong> If the Processor receives a direct request from a data subject for access, rectification<br \/>or deletion of their Data, the Processor will inform the Controller within two working<br \/>days about receipt of the request. The Processor will per-form all instructions given by<br \/>the Controller following such a request by a data subject as soon as possible. The Processor<br \/>will take appropriate technical and organisational measures required to comply<br \/>with the Controller&#8217;s instructions.<br \/><strong>10.4<\/strong> The Processor will notify the Controller if the Controller&#8217;s instructions to the Processor<br \/>are in conflict with any statutory provisions on data protection.<br \/><strong>11. Term and termination<\/strong><br \/><strong>11.1<\/strong> This Processor Agreement is valid as long as the Processor is instructed by the Controller<br \/>to process Data under the Agreement between the Controller and the Processor.<br \/>This Processor Agreement applies to the mutual rela-tionship as long as the Processor<br \/>performs Work on behalf of the Controller.<br \/><strong>11.2<\/strong> If, after termination of the Agreement, the Processor has to retain certain data and\/or<br \/>documents, computer disks or other data carriers containing Data during a statutory<br \/>retention period based on a statutory obligation of retention, the Processor will ensure<br \/>destruction of these data or documents, computer disks or other data carriers<br \/>within 4 weeks after expiry of the statutory retention period.<br \/><strong>11.3<\/strong> Upon termination of the Agreement between the Controller and the Processor, the<br \/>Controller may request the Processor within two weeks after termination of the<br \/>Agreement to return all documents, computer disks and other data carriers containing<br \/>Data to the Controller, at the Controller&#8217;s expense. The Processor will return the Data<br \/>in the format as present at the Processor&#8217;s. In so far as the Data are in a computer<br \/>system or in a different format that makes provision of the Data to the Controller<br \/>reasonably impossible, the Processor will provide the Controller with an accessible,<br \/>readable copy of the Data. Upon expiry of this term, the Processor will destroy the<br \/>Data, unless the Processor is under a statutory obligation to store the Data.<br \/><strong>11.4<\/strong> Without prejudice to the other provisions of this article 12, the Processor will not retain<br \/>or use any Data after termination of the Agreement.<br \/><strong>11.5<\/strong> The method of destruction is determined in consultation with the Controller. The Processor<br \/>will send the Control-ler written confirmation of the destruction.<br \/><strong>11.6<\/strong> Without prejudice to the other provisions of this article 12, the Processor will not retain<br \/>or use any Data after termination of the Agreement.<br \/><strong>12. Nullity<\/strong><br \/><strong>12.1<\/strong> In the event that one or more stipulations in this processor agreement are declared<br \/>null and void or are nullified, the remaining stipulations will remain unimpaired. If any<br \/>stipulation in this processor agreement is not legally valid, parties will negotiate the<br \/>content of a new stipulation, which will approximate the content of the original stipulation<br \/>as closely as possible.<br \/><strong>13. Applicable law and choice of forum<\/strong><br \/><strong>13.1<\/strong> This processor agreement is governed by Netherlands law.<br \/><strong>13.2<\/strong> Any disputes related to the processor agreement or its performance will be brought<br \/>before the competent court of Zeeland-West-Brabant.<\/p><p><strong>ANNEX 1<\/strong><br \/>Nature and purpose of processing<br \/>The Processor collects, processes and uses the Personal Data of the Data Subject on behalf<br \/>of<br \/>the Controller for performance of the agreement.<br \/>Personal data<br \/>The following data will be processed as part of this assignment:<br \/>&#8211; name and address;<br \/>&#8211; citizen service number (&#8216;BSN&#8217;);<br \/>&#8211; IBAN number;<br \/>&#8211; Gender;<br \/>&#8211; Marital status;<br \/>&#8211; Date of birth\/birthdays;<br \/>&#8211; Email addresses;<br \/>&#8211; Telephone numbers;<br \/>&#8211; Employer;<br \/>&#8211; Position;<br \/>&#8211; CV;<\/p><p><br \/><strong>ANNEX 2<\/strong><br \/>Technical and organisational measures<br \/>We have taken the following technical and organisational measures to protect the Personal<br \/>Data against loss or un-lawful processing:<br \/>&#8211; Implemented security policy and periodical update and implementation of the updated<br \/>security policy;<br \/>&#8211; implemented code of conduct;<br \/>&#8211; obligations of confidentiality in employment contracts;<br \/>&#8211; burglar alarm;<br \/>&#8211; safe method of storing data files;<br \/>&#8211; logical access controls by means of knowledge, such as passwords and personal access<br \/>codes;<br \/>&#8211; logical access controls by means of physical access methods, such as security pass;<br \/>&#8211; verification of allocated rights;<br \/>&#8211; logging and monitoring access to the system (including monitoring of signs of unauthorised<br \/>access to the Personal Data);<br \/>&#8211; recovery procedures;<br \/>&#8211; encryption of Personal Data during electronic transfer to external parties;<br \/>&#8211; compliance with the confidentiality clause in this Agreement; and<br \/>&#8211; Appointing a limited number of persons tasked with processing and authorised to gain<br \/>access.
